- These terms are governed by UAE law and the courts of Dubai.
About these terms
These Terms of Service (the “Terms”) govern your access to and use of the Zapio Menu website at zapiomenu.com and the Zapio Menu platform, including online ordering pages, branded websites and mobile apps, QR and tablet menus, dashboards, marketing tools, integrations and related services (together, the “Services”).
“Zapio Menu”, “we”, “us” and “our” refer to the operator of the Services. “You” and “your” refer to the restaurant, business or person who creates an account or uses the Services. By creating an account, starting a trial, or using the Services, you agree to these Terms. If you are accepting on behalf of a business, you confirm you are authorised to bind that business.
Your account
- You must provide accurate, current information when you sign up and keep it up to date.
- You are responsible for keeping your login details confidential and for all activity under your account. Tell us immediately if you suspect unauthorised access.
- You must be at least 18 years old and able to enter into a binding contract under UAE law.
- You are responsible for the people you give access to your dashboard, such as staff, waiters and drivers.
The Services
We provide software that lets you take orders directly from your customers, manage your menu, accept payments through supported providers, and market to your customers. Features available to you depend on the plan you choose, as described on our pricing page.
We may improve, change or add features over time. If we remove a feature that is material to your plan, we will give you reasonable notice. Some features rely on third parties — for example app stores, payment gateways, delivery partners, POS systems and messaging providers — and are subject to their availability and terms.
Free trials
We may offer a free trial so you can try the Services. The length and scope of any trial will be confirmed to you when it starts. At the end of the trial you may choose a paid plan to keep using the Services. If you do not choose a plan, we may suspend your account and, after a reasonable period, delete your trial data in line with our Privacy Policy.
Plans, fees and billing
- Zero commission. We do not charge commission on the orders you receive through the Services. You pay a subscription fee for your chosen plan.
- Billing periods. Plans are billed monthly or yearly as shown on our pricing page at the time you subscribe (for example, Starter is billed monthly and Growth and Pro are billed yearly). Prices are in UAE dirhams (AED).
- Taxes. Fees are subject to any applicable taxes, including VAT, which will be shown on your invoice where required.
- Renewal. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
- Changes. We may change our prices for future billing periods with at least 30 days' notice. Changes do not affect a period you have already paid for.
- Late payment. If a payment is overdue, we may suspend the Services after giving you notice.
- Third-party costs. Payment-processing fees, delivery-partner charges, SMS or messaging costs, app store developer fees and similar third-party charges are not included unless we say otherwise.
Customer payments
Card and wallet payments from your customers are processed by third-party payment providers (such as payment gateways operating in the UAE). Your use of a payment provider is subject to that provider's terms, including its own fees, verification checks and settlement schedule. We are not a bank or payment institution, and we do not hold your customers' funds unless we expressly agree otherwise in writing.
You are responsible for your prices, refunds, chargebacks and the orders you accept, and for complying with consumer-protection rules that apply to your sales.
Your content and your customers
You keep ownership of your menu, prices, photos, logos, brand assets and other content you upload (“Your Content”), and of the data about your customers that you collect through the Services. You grant us a licence to host, display, translate, format and process Your Content as needed to provide the Services and to show your ordering pages to the public.
You confirm that you have the rights to Your Content and that it is accurate, including allergen and dietary information, prices and halal status where you state it. When we process personal data about your customers on your behalf, we do so under the terms described in our Privacy Policy, and you are responsible for having a lawful basis to collect it and for sending marketing only in line with applicable law.
Acceptable use
You agree not to:
- use the Services for anything unlawful, misleading or harmful, or to sell items you are not permitted to sell;
- send spam or marketing messages to people who have not agreed to receive them;
- upload content that infringes someone else's rights, or that is offensive or illegal;
- try to gain unauthorised access to the Services, interfere with their operation, or reverse-engineer them except where the law allows;
- resell the Services without our written agreement (see our reseller program).
Our intellectual property
The Services, including our software, designs, templates, trademarks and the “Zapio Menu” name and logo, belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription in line with these Terms. Branded apps and websites we build for you remain powered by our platform; content specific to your brand remains yours.
Additional services
Optional services such as food photography and videography, menu translation and custom integrations may be quoted separately. Any specific terms, deliverables, timelines and fees for those services will be agreed with you in writing before work begins.
Availability and support
We work hard to keep the Services available and secure, but we do not guarantee that they will be uninterrupted or error-free. We may carry out maintenance, and we will try to schedule it at quiet times. Support is available through WhatsApp, phone and email during business hours.
Liability
Nothing in these Terms limits liability that cannot be limited under UAE law. Otherwise, to the extent permitted by law:
- the Services are provided “as is” and “as available”;
- we are not liable for indirect or consequential losses, or for loss of profits, revenue, goodwill or data;
- we are not responsible for the acts or omissions of third-party providers such as payment gateways, delivery partners or app stores;
- our total liability arising out of or relating to the Services in any 12-month period is limited to the subscription fees you paid us in that period.
You agree to compensate us for claims arising from Your Content, the food and services you sell, or your breach of these Terms or of applicable law.
Cancellation and termination
You can cancel your subscription at any time by contacting us; cancellation takes effect at the end of your current billing period, and fees already paid are non-refundable except where required by law or agreed in writing. We may suspend or terminate your account if you seriously or repeatedly breach these Terms, fail to pay, or use the Services unlawfully.
After termination, you can ask us for an export of your menu and customer data within 30 days. After that we may delete it, except where we must keep it by law.
Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in your dashboard before they take effect. The “Last updated” date at the top of this page shows when the Terms last changed. Continuing to use the Services after changes take effect means you accept them.
Governing law
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Any dispute will be subject to the exclusive jurisdiction of the courts of Dubai, unless we agree otherwise in writing. Before starting any proceedings, both parties will first try to resolve the dispute in good faith by contacting each other.
